1. MITASHI MARKETING & CONSULTANCY (P) LTD. (" the company" or "company") is a Private Limited Company incorporated under the provisions of the Companies Act, 1956.
2. The Company has launched a scheme to promote and market the brand "Mitashi Marketing & Consultancy (P) Ltd." & it's
   products.
3. "Member" means BSA / BGA / BPA / BDA / BDDA or any other designation provided by the Company.
4. The person authorised by the Company will explain the business of the Company.
5. All the members should understand the business of the Company before joining the scheme filling up and signing this agreement.
6. All the payments for purchasing of products of the Company, as new members shall be made by Account Payee Cheque and Demand Draft in favour of "Mitashi Marketing & Consultancy (P) Ltd." only. The cash payments shall be made at the office of the Mitashi Marketing & Consultancy (P) Ltd. only.
7. The members shall deposit all the collection made on behalf of the "Mitashi Marketing & Consultancy (P) Ltd." for the sak of the product of the Company to the new members only at the office of the "Mitashi Marketing & Consultancy (P) Ltd." or at the authorized distribution centre of the company (as per list published from time to time). The Company shall not be responsible / liable for any liability for the payments / remittances made / deposited other than the office of the "Mitashi Marketing & Consultancy (P) Ltd." or at the authorized distribution centre of the Company.
8. The company shall not be responsible for delays and failures in performance here under, where performance is made commercially impractical due to normal circumstances beyond and failure of either parties usual source of supply, government decrees of orders.
9. The company reserves the right to make any changes, amendments or alteration in design, nature content, description, range, scheme and formulation of the product and services provided by the Company, including any changes in the marketing strategy, compensation plan, policies and procedure from time to time as the company may deem fit and necessary to do so.
10. All the benefit incentives are payable by Account Payee Cheques only through by post/courier.
11. Monthly statement will be mailed free once in a month witch includes the Actual cost of communication and delivery of the statement.
12. The management is having sole discretion to organize the training session / Presentation / Seminars / Educational Programs and the same will be i nformed by mail to a] 1 the members accordingly.
13. The company has not authorised any member or staff of the company to accept / collect the cheques / demand draft / cash and statements from the Company for new members accordingly.
14. If any member or staff wants to promote / market the products of the company in any other means, except this promotional plan, which helps the company to increase its sales, then a prior written permission is required from the management of the Company.
15. This Agreement shall be governed, construed and enforced in accordance with the laws of India, without regard to conflicts of laws. The Parties agree to the exclusive jurisdiction and venue of the civil courts of Jaipur for the resolution of all disputes arisin under this Agreement.
16. All the payment will be subject to all applicable taxes and other tax withholdings, duties and levies.
17. The payment is not refundable under any circumstances.
18. Any disputes arising from this agreement or in relation to agreement shall be referred to a duly appointed arbitrator by the company. Member should not raise any objection on the ground that the arbitrator is having any connection with the company.
19. No member is allowed to use company's network for marketing / promoting any other products of scheme which is not related to the Company.
20. Company is not liable for any claim, cost, damage due to the misrepresentation of member about the quality, performance of availability of the company's products and services.
21. All the above terms and conditions are applicable for the nominee.
